The AOCD is governed by the Officers of the Board of Trustees which is comprised of the President, President-elect, First Vice President, Second Vice President, Third Vice President, Secretary-Treasurer, Past President and six (6) Trustees as provided in the Bylaws. Only fellow members in good standing may serve as officers. The AOCD requests conflict of interest disclosures from Board of Trustee members and committee members. The Board of Trustees shall meet at the annual meeting. The Board of Trustees shall also meet on call of the President for the transaction of its assigned or regular business. Written notice of the time, place, and purpose of special meetings shall be mailed and emailed to each Board of Trustees member not less than fourteen (14) days nor more than thirty (30) days prior to the proposed meeting. A telephone conference of a Board of Trustee meeting may be called by the President with notice of not less than three (3) days by email. Eight (8) members of the Board of Trustees shall constitute a quorum at any officially sanctioned meeting.
The fiscal year shall be January 1 to December 31.
IRS regulations require non-profits to make their Form 990 information returns available for public inspection and/or via mail.
The AOCD will make its three most recent Form 990's available for public inspection without charge at its principal place of business.
The AOCD reserves the right to have a staff member present in the room during the public inspection. If the visitor makes an in-person request for copies of the documents, the AOCD will require prepayment of a fee of .20 per page.
If the request is made by mail, the AOCD will provide the copies 30 days after receipt of payment.
Robert’s Rules of Order, Newly Revised, shall govern the College in its conduct of business in all circumstances to which they are applicable and are not inconsistent with the Constitution and Bylaws.
